Master Services Agreement
Acme Corp. — Vendor Services · v3

This Master Services Agreement (the “Agreement”) is entered into by and between Toolhouse, Inc. (“Provider”) and Acme Corp. (“Customer”) as of the Effective Date.

5. Limitation of Liability. In no event shall either party’s aggregate liability under this Agreement exceed the total amounts payable hereunder the fees paid by Customer in the twelve (12) months preceding the claim.

8. Term & Termination. Either party may terminate this Agreement for convenience upon ninety (90) thirty (30) days’ prior written notice.

11. Governing Law. This Agreement shall be governed by the laws of the State of Delaware California, without regard to its conflict-of-laws rules.
